MEMBERSHIP TERMS AND CONDITIONS

These Terms and Conditions apply to the DermDental Annual Membership + Dental Essentials membership (“Membership”).

Please read these Terms carefully before joining. They explain what is included in the Membership, the Dental Essential member pricing, exclusions, payment and renewal arrangements, cancellation rights and other important information.

The Membership booklet, applicable Dental Essential Price List and these Terms should be read together.

1. ABOUT DERMDENTAL

1.1 The DermDental Membership is provided by Vestso Ltd trading as DermDental (“DermDental”, “we”, “us” or “our”).

1.3 In these Terms, “Member”, “you” and “your” mean the individual who purchases the Membership.

PART A — YOUR MEMBERSHIP

2. MEMBERSHIP YEAR

2.1 The DermDental Membership is an annual membership.

2.2 The standard Membership Year runs from 1 April to 31 March.

2.3 You may join during a Membership Year. Unless we expressly agree otherwise with you in writing, joining part-way through a Membership Year does not change the annual renewal date.

2.4 Memberships renew on 1 April each year unless you tell us that you do not wish to renew in accordance with these Terms.

2.5 Where you join part-way through a Membership Year, you will still have access to the applicable annual Membership Benefits for the remainder of that Membership Year, subject to appointment availability, clinical suitability and these Terms.

2.6 If you are considering joining during January, February or March, we may recommend that you wait until the new Membership Year beginning on 1 April. The decision whether to join remains yours.

3. ANNUAL MEMBERSHIP FEE

3.1 The current Membership fee is:

£48 PER YEAR

3.2 The £48 Membership fee covers Membership for the applicable Membership Year or, where you join part-way through that year, the remaining period until 31 March.

3.3 The fee is payable when you join or renew unless we expressly offer another payment arrangement.

3.4 Membership is personal to you. It cannot be transferred, sold, shared or used by another person.

3.5 Membership is not dental insurance and is not a dental treatment financing product.

PART B — WHAT YOUR £48 MEMBERSHIP INCLUDES

4. ANNUAL DENTAL CHECK-UP

4.1 Your Membership includes:

ONE DENTAL CHECK-UP PER MEMBERSHIP YEAR.

4.2 The included check-up comprises an appropriate clinical and visual assessment of your dentition, oral cancer screening and personalised oral-disease prevention advice.

4.3 Additional dental examinations or check-ups requested or clinically required during the same Membership Year are not included unless we expressly state otherwise.

4.4 You may arrange additional check-ups on a fee-per-item basis at the applicable DermDental fee.

5. GENERAL SCALE & POLISH

5.1 Your Membership includes:

ONE GENERAL SCALE & POLISH PER MEMBERSHIP YEAR.

5.2 The general scale and polish ordinarily consists of removal of supragingival plaque and calculus followed by polishing with prophy paste.

5.3 The included general scale and polish is not intended to include treatment beyond the scope of a routine general scale and polish.

5.4 If your clinical condition requires additional, periodontal, specialist or other hygiene treatment, your clinician will explain this to you. Such treatment will be charged separately unless expressly included elsewhere.

6. SMALL DENTAL X-RAYS

6.1 Your Membership includes:

UP TO TWO SMALL DENTAL X-RAYS PER MEMBERSHIP YEAR WHEN CLINICALLY NECESSARY.

6.2 X-rays are not automatically taken merely because they are included in Membership.

6.3 The treating clinician will decide whether an X-ray is clinically necessary, taking into account appropriate clinical guidance, radiation risk assessment and protocol.

6.4 Unused X-ray entitlement has no cash value and cannot be exchanged for another Membership Benefit.

7. UNUSED ANNUAL BENEFITS

7.1 Membership Benefits may be used at suitable times during the Membership Year and do not need to be used at the same appointment.

7.2 Appointments remain subject to availability and clinical suitability.

7.3 Unless we expressly agree otherwise, unused annual Membership Benefits:

(a) expire at the end of the Membership Year on 31 March;

(b) do not carry forward into the following Membership Year;

(c) cannot be transferred to another person;

(d) cannot be exchanged for cash or credit; and

(e) cannot be substituted for another service merely because the Member does not require the included service.

7.4 On renewal on 1 April, the Member's annual Membership Benefits reset for the new Membership Year.

PART C — MEMBER TREATMENT SAVINGS

8. PROCEDURAL-TREATMENT SAVING

8.1 Active Members are entitled to:

8% OFF ELIGIBLE PROCEDURAL TREATMENT

subject to these Terms and clinical suitability.

8.2 The 8% Member saving applies only to treatment that DermDental identifies as eligible procedural treatment.

8.3 The 8% saving does not apply to:

(a) consultations;

(b) assessments;

(c) diagnostic services;

(d) X-rays;

(e) administration charges;

(f) prescriptions; or

(g) any other item which is expressly excluded from the Member saving before treatment is agreed.

8.4 The 8% saving:

(a) applies only while your Membership is active;

(b) applies only to eligible treatment provided by DermDental;

(c) cannot be exchanged for cash;

(d) cannot be transferred to another person;

(e) cannot normally be combined with another discount, offer or promotion unless DermDental expressly agrees otherwise; and

(f) cannot be applied retrospectively to treatment completed before Membership became active.

8.5 Before agreeing to treatment, you should confirm whether the proposed treatment qualifies for the Member saving.

PART D — DENTAL ESSENTIAL MEMBER PRICE LIST

9. ACCESS TO DENTAL ESSENTIAL MEMBER PRICING

9.1 Active DermDental Members have access to the Dental Essential member pricing described below.

9.2 Dental Essential pricing is available only to Members whose Membership is active at the time the relevant treatment is agreed and provided.

9.3 Dental Essential treatment is subject to:

(a) clinical assessment;

(b) diagnosis;

(c) clinical suitability;

(d) the number and condition of teeth requiring treatment;

(e) applicable materials;

(f) the exclusions in these Terms; and

(g) the treating clinician's professional judgement.

9.4 Purchasing Membership does not guarantee that a particular Dental Essential treatment will be clinically appropriate for you.

10. ESSENTIAL 1 — SIMPLE RESTORATIVE

MEMBER PRICE: £81.20

10.1 Essential 1 may cover up to three teeth requiring:

(a) simple fillings; and/or

(b) simple extractions,

subject to clinical assessment and suitability.

10.2 Surgical extraction is excluded from Essential 1.

10.3 Treatment is grouped in increments of up to three teeth according to the Essential 1 criteria.

10.4 Your treating clinician determines whether the proposed treatment falls within Essential 1.

11. ESSENTIAL 2 — COMPLEX RESTORATIVE

MEMBER PRICE: £398.60

11.1 Essential 2 may cover up to three teeth requiring qualifying crowns or onlays, subject to clinical assessment and suitability.

11.2 The crown provision under this Dental Essential price is limited to resin-based crowns, unless DermDental expressly confirms otherwise in writing.

11.3 Other crown materials, laboratory options or restorative treatment may be charged separately.

11.4 Treatment is grouped in increments of up to three teeth according to the Essential 2 criteria.

11.5 Your treating clinician determines whether the proposed treatment falls within Essential 2.

12. MULTIPLE DENTAL ESSENTIAL BUNDLES

12.1 Where your clinical treatment requirements exceed one Dental Essential bundle, more than one bundle may be required.

12.2 By way of illustration:

Essential 1: £81.20
Essential 2: £398.60

Therefore:

Essential 1 + Essential 2 = £479.80

and

2 × Essential 1 + 1 × Essential 2 = £561.00

12.3 These calculations illustrate how bundle pricing works. They do not constitute quotations, diagnoses or treatment plans.

12.4 Your actual treatment requirements and price will depend upon clinical assessment, the teeth requiring treatment, materials, exclusions and eligibility.

12.5 Where appropriate, DermDental will provide or explain the applicable treatment price before treatment is undertaken.

PART E — CLINICAL TERMS

13. CLINICAL SUITABILITY

13.1 All dental care remains subject to the professional judgement of the treating clinician.

13.2 Membership does not entitle a Member to demand a treatment that the clinician considers:

(a) clinically unnecessary;

(b) unsuitable;

(c) unsafe;

(d) contrary to accepted professional standards; or

(e) contrary to the Member's best interests.

13.3 Your clinician may recommend a treatment that is not included in Membership or the Dental Essential member pricing where clinically appropriate.

13.4 Treatment outside your Membership Benefits will be charged separately.

13.5 Nothing in these Terms interferes with the professional independence of any dentist, hygienist, therapist or other healthcare professional.

14. TREATMENT PLANS AND CONSENT

14.1 Examples appearing in Membership promotional materials are illustrative only and are not individual treatment plans or quotations.

14.2 Where appropriate, before treatment is undertaken your clinician will explain:

(a) the proposed treatment;

(b) reasonable treatment alternatives;

(c) material risks and benefits;

(d) relevant costs; and

(e) any important limitations.

14.3 Your consent to treatment remains separate from your agreement to Membership.

14.4 Being a Member does not constitute consent to any dental procedure.

PART F — APPOINTMENTS

15. BOOKING MEMBERSHIP APPOINTMENTS

15.1 To book an included Membership appointment, contact DermDental and provide your Membership number.

15.2 Membership does not guarantee an appointment with a particular clinician or at a particular date or time.

15.3 All appointments are subject to availability.

15.4 Current normal opening hours stated in the Membership booklet are:

Monday–Friday: 9:00am–5:00pm

Saturday and late-evening appointments may be available by appointment only.

15.5 Opening hours may reasonably change from time to time.

16. MISSED AND CANCELLED APPOINTMENTS

16.1 If you cannot attend an appointment, please give DermDental as much notice as reasonably possible.

16.2 Any late-cancellation or missed-appointment charge must be brought to your attention and will be applied only where permitted by applicable law and practice policy.

16.3 Repeated missed appointments may result in DermDental reviewing whether it can reasonably continue providing Membership, particularly where appointments are repeatedly reserved but not attended.

PART G — JOINING, MEMBERSHIP STATUS AND MEMBERSHIP CARD

17. JOINING

17.1 You may join at any point during the Membership Year, subject to DermDental accepting your application.

17.2 Your Membership Benefits become available when Membership is activated, subject to any applicable statutory cancellation rights, appointment availability and clinical suitability.

17.3 You must provide accurate information when joining and keep your contact details reasonably up to date.

18. MEMBERSHIP CARD AND NUMBER

18.1 Members may be issued with a Membership card containing a unique Membership number.

18.2 A QR code or other online facility may be provided to enable Membership status to be checked.

18.3 The Membership card:

(a) identifies your Membership;

(b) is not a credit card;

(c) is not a debit card;

(d) is not a payment card;

(e) has no cash value; and

(f) must not be transferred to or used by another person.

18.4 DermDental may use other reasonable methods to verify Membership status.

PART H — RENEWAL

19. ANNUAL RENEWAL

19.1 The Membership Year ends on 31 March.

19.2 Subject to these Terms, Membership is intended to renew on 1 April each year.

19.3 The current subsequent annual renewal price stated in the Membership booklet is £48, subject to any properly notified change made in accordance with these Terms.

19.4 Before taking a renewal payment, DermDental will provide reasonable advance information about the renewal, including the applicable renewal price and how you can prevent renewal.

19.5 You may tell us before renewal that you do not wish your Membership to renew.

19.6 We will not make the cancellation or non-renewal process unnecessarily difficult.

19.7 If you choose not to renew, your Membership and unused Membership Benefits will end at the end of your current Membership Year.

20. PRICE CHANGES

20.1 DermDental may review Membership and Dental Essential prices.

20.2 A change to the annual Membership fee will not retrospectively increase the price already paid for the current Membership Year.

20.3 Where the annual renewal fee changes, we will give you reasonable advance notice before the renewal payment becomes due.

20.4 You may choose not to renew if you do not wish to accept the new Membership price.

20.5 Dental Essential treatment prices and other treatment prices may also be reviewed from time to time.

20.6 The price applicable to proposed treatment should therefore be confirmed before you commit to that treatment.

PART I — CANCELLATION AND COOLING-OFF RIGHTS

21. YOUR RIGHT TO CANCEL

21.1 You may tell us that you wish to cancel Membership by contacting DermDental

21.2 Cancellation requests may be sent to:

admin@dermdental.co.uk

or made using another cancellation method DermDental makes available.

21.3 We will acknowledge cancellation where required and will not require you to use an unnecessarily difficult cancellation procedure.

22. 14-DAY COOLING-OFF PERIOD

22.1 Where applicable under consumer law, including where Membership is purchased online, by telephone or otherwise at a distance, you have a statutory 14-day cancellation period.

22.2 The applicable statutory cancellation period normally begins when the Membership contract is entered into.

22.3 You may cancel during that period without having to give a reason.

22.4 If you ask DermDental to begin providing Membership services during a statutory cancellation period, additional statutory rules may apply.

22.5 Where permitted by law, if you cancel after expressly requesting that services begin during the cancellation period, you may be required to pay a proportionate amount for services actually supplied before cancellation.

22.6 Where a service has been fully performed or membership benefits have been partially redeemed during the cancellation period following your express request and the acknowledgements required by law have been obtained, your statutory cancellation right may cease where the law provides for this.

22.7 DermDental will not use these Terms to remove or restrict any statutory cancellation or refund right that you have.

23. CANCELLATION AFTER THE COOLING-OFF PERIOD

23.1 Because Membership is purchased for the applicable annual Membership Year, cancellation after any applicable statutory cooling-off period does not automatically create a right to a full refund of the annual Membership fee.

23.2 This does not affect:

(a) your statutory consumer rights;

(b) any right to a refund arising because DermDental has failed to provide contracted services;

(c) any right arising from an unfair or unlawful term; or

(d) any other right that cannot lawfully be excluded.

23.3 DermDental may, at its discretion, agree to cancellation or a refund in circumstances not otherwise giving rise to a statutory right. Any such decision does not affect the Member's statutory rights.

PART J — CHANGES TO MEMBERSHIP

24. CHANGES TO BENEFITS OR TERMS

24.1 We may make reasonable changes to Membership where necessary because of:

(a) changes in law or regulation;

(b) professional or clinical guidance;

(c) patient-safety requirements;

(d) changes affecting availability of a particular service or material;

(e) changes to our clinical operations; or

(f) another legitimate and reasonable business reason.

24.2 We will not use this clause as an unrestricted right to materially reduce Membership Benefits after you have paid.

24.3 If we propose a material change that disadvantages you during your existing Membership Year, we will give reasonable notice and provide any cancellation, refund or other remedy required by law.

PART K — SUSPENSION AND TERMINATION BY DERMDENTAL

25. WHEN WE MAY END OR SUSPEND MEMBERSHIP

25.1 We may reasonably suspend or terminate Membership where:

(a) payment remains unpaid after reasonable notice;

(b) Membership is being used fraudulently;

(c) materially false information has deliberately been supplied;

(d) a Membership card or number is deliberately transferred or misused;

(e) there is abusive, threatening, violent or seriously inappropriate behaviour towards staff, clinicians, patients or visitors;

(f) the professional relationship between the Member and practice has irretrievably broken down;

(g) continuing Membership would cause a significant clinical, legal, regulatory or safety concern; or

(h) DermDental permanently ceases offering the Membership.

25.2 Except where immediate action is reasonably necessary, we will give reasonable notice.

25.3 Where DermDental ends a prepaid Membership for reasons unrelated to your breach or misconduct, we will provide any proportionate refund or other remedy required by law.

PART L — ACCESSIBILITY

26. ACCESSIBILITY

26.1 DermDental currently offers:

(a) step-free entry;

(b) a ground-floor surgery;

(c) hearing-loop facilities; and

(d) accessible toilet facilities.

26.2 Patients must be able to transfer safely onto the dental/treatment chair independently, with any reasonable assistance that DermDental is able to provide safely.

26.3 If you have particular accessibility requirements, please contact DermDental before your appointment so that the team can discuss appropriate arrangements with you.

26.4 Nothing in this section is intended to restrict any rights under applicable equality legislation.

PART M — OUR RESPONSIBILITIES

27. REASONABLE CARE AND SKILL

27.1 DermDental will provide contracted services with the reasonable care and skill required by applicable law.

27.2 Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

27.3 In particular, nothing excludes or limits liability for:

(a) death or personal injury caused by negligence;

(b) fraud or fraudulent misrepresentation; or

(c) any liability that cannot lawfully be excluded.

27.4 Your statutory consumer rights are not affected by these Terms.

28. EVENTS OUTSIDE OUR REASONABLE CONTROL

28.1 DermDental will not be responsible for a failure or delay caused by circumstances genuinely outside its reasonable control to the extent permitted by law.

28.2 If such circumstances prevent a material Membership Benefit from being provided, DermDental will take reasonable steps to minimise the impact and provide any remedy required by applicable consumer law.

PART N — PERSONAL INFORMATION

29. DATA PROTECTION

29.1 DermDental processes personal information in accordance with applicable UK data protection law and its Privacy Notice.

29.2 Dental and other health information may constitute special category personal data and will be handled accordingly.

29.3 Information necessary to administer Membership may include your:

(a) name;

(b) contact details;

(c) Membership number;

(d) Membership status;

(e) payment information;

(f) use of Membership Benefits; and

(g) relevant clinical information.

29.4 Marketing communications will be handled separately from communications necessary to administer Membership or provide healthcare.

PART O — COMPLAINTS

30. COMPLAINTS

30.1 If you are unhappy with Membership or a service you have received, please contact DermDental so that we have an opportunity to investigate and respond.

30.2 Complaints will be handled in accordance with DermDental's applicable complaints procedure and regulatory obligations.

30.3 Nothing in these Terms prevents you from using any external complaint, regulatory, alternative dispute resolution or court procedure available to you by law.

PART P — GENERAL LEGAL TERMS

31. NO TRANSFER BY MEMBER

31.1 Membership is personal to the Member and cannot be assigned or transferred to another person.

32. THIRD-PARTY RIGHTS

32.1 Unless expressly stated otherwise, these Terms are between DermDental and the Member.

32.2 No other person has a right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.

33. SEVERABILITY

33.1 If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

34. NO WAIVER

34.1 If DermDental does not immediately enforce a contractual right, this does not mean that right has been waived.

35. DOCUMENTS FORMING YOUR MEMBERSHIP AGREEMENT

35.1 Your Membership agreement comprises:

(a) these Membership Terms and Conditions;

(b) the DermDental Annual Membership + Dental Essentials booklet applicable when you join;

(c) the applicable Dental Essential Price List;

(d) your Membership application or confirmation; and

(e) any other document expressly stated to form part of your Membership agreement.

35.2 If promotional material conflicts with these Terms concerning a Member's statutory rights, these Terms and applicable law will apply.

35.3 Nothing in this clause prevents you from relying on representations or information where applicable consumer law gives you the right to do so.

36. STATUTORY RIGHTS

36.1 These Terms do not replace your statutory rights.

36.2 Services supplied by DermDental are subject to applicable consumer law, including the Consumer Rights Act 2015 where relevant.

36.3 If any provision of these Terms conflicts with a mandatory statutory consumer right, the statutory right takes precedence.

37. GOVERNING LAW

37.1 These Terms and the Membership agreement are governed by the laws of England and Wales.

37.2 A consumer resident in England or Wales may bring proceedings in the courts of England and Wales.

37.3 Consumers resident elsewhere may also have mandatory rights concerning where proceedings can be brought. Nothing in these Terms is intended to deprive a consumer of such rights.

Dental Essential Member Pricing

ESSENTIAL 1 — SIMPLE RESTORATIVE: £81.20

Up to three teeth requiring simple fillings and/or simple extractions. Surgical extractions excluded.

ESSENTIAL 2 — COMPLEX RESTORATIVE: £398.60

Up to three teeth requiring qualifying crowns or onlays. Resin-based crowns only under the stated bundle.

All treatment is subject to clinical assessment, suitability and the treating clinician's professional judgement.

BEFORE YOU JOIN

Please make sure you understand:

✓ Membership costs £48 for the applicable Membership Year.

✓ The standard Membership Year runs from 1 April to 31 March.

✓ Membership is not insurance.

✓ Membership includes one annual check-up, one annual general scale & polish and up to two small dental X-rays where clinically necessary.

✓ Membership Benefits are subject to appointment availability and clinical suitability.

✓ Unused annual benefits normally expire on 31 March and do not carry forward.

✓ Dental Essential prices apply only to qualifying treatment and active Members.

✓ The 8% Member saving applies only to eligible procedural treatment and exclusions apply.

✓ Treatment examples in the Membership booklet are illustrations, not individual treatment plans or quotations.

✓ Membership is intended to renew annually on 1 April unless you opt out of renewal.

✓ You should read the cancellation and cooling-off provisions before joining.
